Terms and conditions of sales and purchase in online shop

1. General provisions.
1.1. These rules for the purchase and sale of goods (hereinafter - the Rules) are a legally binding document for the Parties, which sets out the rights, obligations, and responsibilities of the Buyer and the Seller UAB "Nutvila" when purchasing goods in the online store.
1.2. The Seller reserves the right to change, amend, or supplement the Rules at any time, taking into account legal requirements. The Buyer is informed on the online store website. When the Buyer shops in the online store, the Rules valid at the time of placing the order shall apply.
1.3. The right to purchase in the online store is granted to:
1.3.1. legally capable natural persons, i.e., persons who have reached the age of majority and whose legal capacity is not restricted by court;
1.3.2. minors aged 14 to 18, only with the consent of their parents or guardians, except in cases where they independently manage their income;
1.3.3. legal entities;
1.3.4. authorized representatives of all the above-mentioned persons.
1.4. By approving the Rules, the Seller also guarantees that, based on clause 1.3, the Buyer has the right to purchase goods in the online store.
1.5. The contract between the Buyer and the Seller is considered concluded from the moment the Buyer forms a shopping cart in the online store, provides the delivery address, selects the payment method, reviews the Seller’s Rules, and clicks the “Confirm order” button (see section 5 “Ordering goods, prices, payment procedure, deadlines”).


2. Personal data protection.
2.1. The Buyer can order goods in the online store by:
2.1.1. registering in this online store - by entering the required registration data;
2.1.2. without registering in this online store.
2.2. When ordering goods using the methods provided in clause 2.1, the Buyer must provide the personal data necessary for proper order fulfillment in the relevant information fields: name, surname, delivery address, phone number, and email address.
2.3. By approving these Rules, the Buyer agrees that the personal data provided in clause 2.2 will be processed for the purposes of selling goods and services in the online store, business analysis, and direct marketing.
2.4. By agreeing to the processing of personal data for the purpose of selling goods and services, the Buyer also agrees to receive informational messages necessary for order fulfillment via the provided email address and phone number.
2.5. When registering and ordering goods, the Buyer undertakes to keep login details confidential and not disclose them to third parties.


3. Buyer’s rights and obligations.
3.1. The Buyer has the right to purchase goods in the online store in accordance with these Rules and other sections of the online store.
3.2. The Buyer undertakes to accept the ordered goods and pay the agreed price.
3.3. If the Buyer’s registration data changes, the Buyer must update it immediately.
3.4. The Buyer undertakes not to transfer login data to third parties. If the Buyer loses login data, they must immediately inform the Seller using the contact details provided in the “Contacts” section.
3.5. By using the online store, the Buyer agrees to these Rules and undertakes to comply with them and not violate Lithuanian laws.

4. Seller’s rights and obligations.
4.1. The Seller undertakes to provide all conditions necessary for the Buyer to properly use the services of the online store.
4.2. If the Buyer attempts to harm the stability or security of the online store or violates obligations, the Seller has the right to restrict or suspend access without prior notice or cancel the Buyer’s registration.
4.3. The Seller undertakes to respect the Buyer’s right to privacy regarding personal information provided during registration.
4.4. The Seller undertakes to deliver goods to the address specified by the Buyer.

5. Ordering goods, prices, payment procedure, deadlines.
5.1. The Buyer can shop in the online store 24/7.
5.2. The contract becomes valid when the Buyer clicks “Confirm order” and the Seller confirms it by sending a confirmation email.
5.3. Prices are indicated in euros, including VAT.
5.4. The Buyer can pay using:
5.4.1. online banking - advance payment via the Buyer’s online banking system. Responsibility for data security lies with the bank;
5.4.2. bank transfer - advance payment via bank transfer to the Seller’s account.
5.5. The Buyer must pay immediately. Order processing and delivery time calculation begin only after payment is received.

6. Delivery of goods.
6.1. The Buyer must provide an accurate delivery address.
6.2. The Buyer must accept the goods personally. If unable, and goods are delivered to the specified address, claims cannot be made.
6.3. Goods are delivered by the Seller or an authorized courier.
6.4. Delivery times are preliminary and may change due to stock availability or unforeseen circumstances. The Seller will inform the Buyer if delays occur.
6.5. The Seller is not responsible for delays caused by the Buyer or external circumstances.
6.6. The Buyer must immediately report damaged packaging or incorrect shipments.
6.7. If damage is noticed upon delivery, it must be documented with the courier. Otherwise, the Seller is not liable.

7. Product quality and warranty.
7.1. Product details are provided in product descriptions.
7.2. The Seller is not responsible for differences in color or appearance due to the Buyer’s display.
7.3. If a product is defective, it will be replaced or refunded. Return and shipping costs are covered by the Seller.

8. Right to withdraw from the contract.
8.1. If dissatisfied with product taste or quality, the Buyer may return the product within 14 days for a refund.
8.2. Conditions:
8.2.1. product must be in original packaging;
8.2.2. product must not be damaged;
8.2.3. product must be complete.
8.4. The Seller may refuse returns if conditions are not met.
8.5. Refunds are issued within 14 days after notification, but only after the product is received or proof of shipment is provided. Return costs are covered by the Seller.


9. Liability.
9.1. The Buyer is responsible for the accuracy of personal data.
9.2. The Buyer is responsible for actions taken in the online store.
9.3. The Buyer is responsible for login data security.
9.4. The Seller is not liable if the Buyer fails to review the Rules.
9.5. The Seller is not responsible for third-party websites.
9.6. The party at fault compensates direct damages.

10. Marketing and information.
10.1. The Seller may initiate promotions.
10.2. The Seller may change or cancel promotions without notice.
10.3. Notifications are sent via contact details provided by the Buyer.
10.4. The Buyer sends inquiries via contacts listed in the “Contacts” section.
10.5. The Seller is not responsible for undelivered messages due to technical issues.

11. Final provisions.
11.1. These Rules are governed by Lithuanian law.
11.2. Disputes are resolved through negotiation or according to Lithuanian law.
11.3. Consumer disputes are handled by the State Consumer Rights Protection Authority, Goštauto g. 12, Vilnius, www.vvtat.lt. Complaints can also be submitted via http://ec.europa.eu/odr/.
